Membership Agreement

The contract between Logistics Global Network and every company that applies for, holds, or renews membership.

  • "Membership Year" means the 12-month period from the date membership fees are paid and accepted.
  • "Member Directory" means the online, access-controlled listing of Network members.
  • "Territory" means the city, port, or region a Member is approved to represent within the Network, where a territory-based tier applies.
  • "Confidential Information" means non-public pricing, rates, member contact details, and business information shared between Members or between a Member and the Network.

Applicants must complete the Membership Application Form and provide: (a) proof of company registration/incorporation; (b) a minimum of 2 years' trading history in freight forwarding or logistics; (c) a minimum of two trade references from existing business partners; and (d) any licences relevant to the applicant's jurisdiction (e.g. IATA, customs broker licence, as applicable).

The Network reserves the right to verify the information provided, including via third-party reference or credit-check services, at the Network's discretion and expense. Acceptance of an application is at the sole discretion of the Network, save that no application will be declined on grounds prohibited by the Equality Act 2010. Membership is personal to the applicant company and is not transferable without the Network's prior written consent.

Probationary Period: All new Members are accepted subject to an initial Probationary Period of 12 months from the date membership is confirmed. During this period, the Network may terminate the Member's membership on 14 days' written notice, without needing to follow the remedy process in Section 13, if the Network reasonably considers the Member is not meeting expected standards of conduct, responsiveness, or service quality. Where the Network terminates membership during the Probationary Period pursuant to this Section 2 without a finding of material breach under Section 13, the Network shall refund to the Member a pro-rata proportion of the annual fee paid corresponding to the remaining full months of the Membership Year. After the Probationary Period ends, the ordinary termination process applies in full.

Membership fees are as set out in the current published Fee Schedule (Free / Standard £149 per year / Premium £299 per year) at the time of application, which forms part of this Agreement. Annual fees are payable in advance and are non-refundable except as set out in Section 2 or elsewhere in this Agreement.

Fees may be revised by the Network on renewal, with at least 30 days' notice before your renewal date.

Additional branch offices of an existing Member may be added at 50% of the then-current published fee for the relevant tier, subject to the branch meeting the same application and qualification requirements.

Where a Member's tier includes territory rights, the Network will use reasonable efforts to limit the number of Members representing the same city/territory to the number published for that tier at the time of the Member's application. The Network does not guarantee this will remain unchanged and reserves the right to review territory limits as the Network grows, with reasonable notice to affected Members.

Territory allocations are solely operational and administrative parameters of the Network platform and shall not restrict any Member from competing freely, soliciting business, setting its own prices, or trading with Members or non-Members within any geographic market.

Members shall:

  • Respond to enquiries, quote requests and communications from fellow Members within a reasonable time (recommended: 24–48 business hours).
  • Deal with fellow Members professionally, honestly, and in good faith, and offer new business to fellow Members in preference to non-members where service and price are comparable.
  • Maintain the licences, insurances and standards of service required to operate lawfully in your home jurisdiction.
  • Comply at all times with applicable sanctions, export control and anti-bribery laws, including UK, EU, US and UN regimes, and never use the Network to facilitate prohibited trade.
  • Not misrepresent Network membership or use the Network's name, logo or branding other than as authorised.
  • Keep Confidential Information received from the Network or fellow Members confidential, and use it only for the purposes of conducting business within the Network.
  • Treat all Network staff and fellow Members with respect — discriminatory, harassing, or abusive conduct of any kind will not be tolerated.

The Network is not a party to, and accepts no liability for, any commercial or financial transaction between Members. Members deal with each other, and extend credit to each other, entirely at their own risk and on terms they agree between themselves. Where the Network operates a Payment Protection Plan or similar scheme in future, separate terms will apply and will be published and provided to Members opting into that scheme.

All trade marks, logos, the Member Directory, website content and Network materials remain the property of Peaceblue Ltd, trading as Logistics Global Network. Members are granted a limited, non-exclusive, non-transferable licence to display the Network's logo and refer to their membership while their membership is active and in good standing. On termination or resignation, you must immediately cease all use of the Network's name, logo, and any materials suggesting current membership.

The Network operates as an introduction and networking platform only. It does not guarantee, warrant, or insure the quality, solvency, or reliability of any Member, nor the outcome of any transaction between Members.

Neither party shall be liable to the other under or in connection with this Agreement for any indirect, special, or consequential loss, loss of profit, loss of business opportunity, or loss of goodwill.

Subject to the foregoing and to the maximum extent permitted by law, the Network's total aggregate liability arising out of or in connection with this Agreement, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall be limited to the total annual membership fees paid by the Member in the 12 months preceding the event giving rise to the claim. Nothing in this Agreement excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded under English law (including the Unfair Contract Terms Act 1977).

You agree to indemnify and hold harmless the Network, its directors, officers, and employees against any claims, losses, liabilities, or costs (including reasonable legal fees) arising from: (a) your material breach of this Agreement; (b) any commercial transaction or dispute between you and another Member or third party; or (c) your breach of applicable law.

Each party will comply with its obligations under the UK GDPR and the Data Protection Act 2018 in respect of any personal data processed under this Agreement. Our Privacy Policy explains how we process personal data submitted by Members.

Where personal data is transferred between the Network and Members outside the UK or European Economic Area (EEA), the parties agree to enter into and abide by the UK International Data Transfer Agreement (IDTA) or standard contractual clauses to ensure lawful cross-border data protection compliance.

Where the Network organises meetings, conferences or events, separate terms (including cancellation and refund terms) will be published for each event and form part of this Agreement by reference. The Network is not responsible for travel, accommodation, visa or related costs incurred by Members attending events. By attending Network events, Members consent to being photographed or recorded for the Network's promotional and archival use, unless they notify the Network otherwise in advance.

Neither party is liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including natural disaster, pandemic, strike, war, terrorism, civil unrest, or government action.

The Network may suspend or terminate a Member's membership, with immediate effect or on notice, where the Member: (a) fails to pay fees when due; (b) is reported as a payment defaulter by two or more fellow Members or appears on a recognised industry debtor list and cannot satisfactorily resolve this; (c) commits a material breach of this Agreement or the Membership Rules & Code of Conduct; (d) is involved, directly or indirectly, in a breach of applicable sanctions or export control law; or (e) is, in the Network's reasonable opinion, acting in a manner harmful to the Network or its Members.

Except in cases of serious breach (including sanctions breaches or fraud, where immediate termination applies), the Network will give the Member a reasonable opportunity to remedy the issue first. A Member may resign at any time on written notice. No fees are refundable on resignation or termination, save as provided under Section 2 or at the Network's discretion. Clauses 7 (IP), 8 (Liability), 9 (Indemnity), 10 (Data Protection), and 15 (Governing Law) survive termination.

The Network may update this Agreement and the Membership Rules from time to time. Material changes will be notified to Members with at least 30 days' notice; continued membership after that date constitutes acceptance of the updated terms.

This Agreement is governed by the laws of England and Wales. The parties submit to the exclusive jurisdiction of the courts of England and Wales, save that the Network may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

  • To the Member: at the registered email address provided on the Membership Application Form.
  • To the Network: at hello@logisticsglobalnetwork.com. Notices are deemed received on the business day following transmission, provided no delivery failure notification is received by the sender.
